Aitomic Add-Ons -- Academic License

This is the license for the ``aitomic-addons`` package -- the compiled AIQM3 and other published add-on methods distributed on PyPI. You accept it by installing or using the package. For commercial licensing, contact contact@aitomistic.com.

    AITOMIC ADD-ONS FOR MLATOM — ACADEMIC LICENSE AGREEMENT

    This Academic License Agreement (the "Agreement") is a legal agreement between
    Aitomistic Shenzhen (深圳拟核科技有限公司), TechPark Qiongyu Rd #5, Bd #51,
    Room #581, Shenzhen, the People's Republic of China ("LICENSOR", "we"), and you,
    the individual or entity exercising rights under this Agreement ("LICENSEE",
    "you").

    The "Licensed Software" means the Aitomic Add-Ons for MLatom — the proprietary,
    compiled method implementations (such as AIQM3) distributed in the
    "aitomic-addons" software package, together with any updates LICENSOR makes
    available under this Agreement. The Licensed Software does NOT include the model
    parameters ("weights"), which are not subject to the restrictions of this
    Agreement.

    BY INSTALLING OR USING THE LICENSED SOFTWARE, YOU AGREE TO BE BOUND BY THIS
    AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE LICENSED SOFTWARE.


    1. License grant

    Subject to your compliance with this Agreement, LICENSOR grants you a free of
    charge, non-exclusive, non-transferable, non-sublicensable license to install
    and use the Licensed Software solely for non-commercial purposes, namely
    academic research and teaching.


    2. Academic self-certification

    By installing or using the Licensed Software, you certify that your use is
    academic and non-commercial.


    3. Commercial use

    Any commercial use of the Licensed Software requires a separate commercial
    license from LICENSOR. To obtain one, contact contact@aitomistic.com.


    4. Restrictions

    You may not: (a) sell, distribute, sublicense, transfer, rent, or otherwise make
    the Licensed Software available to any third party, in whole or in part, whether
    modified or unmodified; (b) modify, adapt, or create derivative works of the
    Licensed Software; or (c) reverse engineer, decompile, disassemble, or otherwise
    attempt to derive the source code of the Licensed Software, except to the extent
    this restriction is prohibited by applicable law.


    5. Model parameters (weights)

    The model parameters used by the Licensed Software are distributed separately and
    are downloaded automatically by MLatom when first needed. They are not governed by
    the restrictions in Section 4.


    6. Ownership

    The Licensed Software is licensed, not sold. LICENSOR retains all right, title,
    and interest in and to the Licensed Software, including all copyright and other
    intellectual property rights. The source code of the Licensed Software is not
    placed in the public domain.


    7. Citation

    Any published work arising from use of the Licensed Software must include the
    appropriate citations for the Licensed Software and for the scientific
    publications that describe the underlying methods, as indicated in the Licensed
    Software's documentation.


    8. Data

    The Licensed Software may store data locally on your system (for example, cached
    model files and a record of your acceptance of this Agreement). LICENSOR does not
    collect this data through the Licensed Software. Each party shall comply with
    applicable data-protection and privacy laws.


    9. No warranty

    THE LICENSED SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, WHETHER
    EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED
    WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. LICENSOR DOES
    NOT WARRANT THAT THE LICENSED SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS
    OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. THE ENTIRE RISK AS TO THE QUALITY
    AND PERFORMANCE OF THE LICENSED SOFTWARE IS WITH YOU.


    10. Limitation of liability

    IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR
    CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS, OR INTERRUPTION OF
    BUSINESS, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR
    RELATED TO THE LICENSED SOFTWARE.


    11. Term and termination

    This Agreement is effective until terminated. It terminates automatically if you
    breach any of its terms. Upon termination, you must cease all use of the Licensed
    Software and delete all copies in your possession or control. Sections 4, 6, 9,
    10, and 13 survive termination.


    12. Severability

    If any provision of this Agreement is held invalid or unenforceable, the
    remaining provisions remain in full force, and the invalid provision shall be
    replaced by a valid provision that most closely reflects the original intent.


    13. Governing law

    This Agreement is governed by the laws of the People's Republic of China, without
    regard to its conflict-of-laws rules. The courts of Shenzhen shall have exclusive
    jurisdiction over any dispute arising out of or relating to this Agreement.


    14. Entire agreement

    This Agreement is the entire agreement between you and LICENSOR regarding the
    Licensed Software and supersedes any prior understanding regarding it. LICENSOR
    may set updated terms for future versions of the Licensed Software; the terms
    distributed with a given version govern that version.
